KXCO Meridian

User Guide

Meridian is a private venue where family offices, institutional investors and issuers originate, negotiate and settle private-capital deals. This guide walks through the platform end to end. Every action you take is cryptographically recorded to a post-quantum audit trail, and you are identified across the network only by your KXCO ID.

1Getting started

  • Request access. New organisations apply from the sign-in screen. An administrator reviews and approves each application before entry.
  • Invitations. Administrators and Founders Club members can send a one-time invite link; invited members skip the approval queue and enter immediately.
  • Sign in with your email and password. Use the show/hide control to check your password, and “Forgot password” to reset it.
  • Verification (KYC/AML). You can explore the platform straight away. Identity and accreditation checks are completed after you join and unlock sensitive actions such as making offers and paying capital calls.

2Membership categories

Choose the category that describes your organisation at sign-up (and change it on your profile): Family Office, Investment Bank, Investor, Issuer, Public Company, Real Estate Developer, Bank, Licensed Broker, Private Equity, Venture Capital, or Advisor.

3The deal board

  • Browse live offerings on the Deals board.
  • Filter to Matches (ranked against your mandate) or your Watchlist.
  • Click the star on any deal to watch it and receive in-app alerts on changes.

4Creating an offering

Issuers create offerings from Your offerings → New offering:

  • Title, description, sector, geography.
  • Instrument — Equity (default), Debt, Convertible Loan, Private Placement, Mortgage, Lien, Options or Bond.
  • Settlement currency — USD, EUR, GBP, CHF, JPY, CNY, USDT, USDC or BTC.
  • Target raise, minimum ticket and visibility (network-wide, participants only, or private).

An offering is created as a draft; submit it for administrator review to take it live.

5Inside a deal

Each deal has tabs:

  • Overview — summary, target, participants.
  • Data Room — tiered access: the teaser is open; signing the NDA unlocks the information memorandum and gated documents.
  • Offers — offers made on the deal (issuer screens and accepts).
  • Q&A and Diligence — questions and the due-diligence checklist, scoped to participants.
  • NDA — sign to elevate your document access.
  • Settlement — deposit addresses, payment links and settlement instructions (see §7).
  • Capital (issuer) — issue capital calls, record distributions and valuations.

6Diligence & IC memo

Meridian gives investors a structured way to review a deal and issuers a way to prepare for that review.

For investors — the “My Diligence” tab

  • Open a private diligence workspace for your firm. Everyone on your organisation shares it, and it stays separate from every other investor.
  • Work a tracked checklist — each item moves through not started → requested → received → reviewed → flagged → cleared — with your own notes, a risk flag, and a link to the data-room document that evidences it.
  • Move the deal through your own pipeline: Screening → In diligence → Commit / Pass, capturing the rationale for your investment-committee record.
  • Suggest coverage (AI) reads the data room and marks each item covered, partial or missing, with page citations — a starting point you can override. It never changes your own status.
  • Request info on any item sends a tracked question to the issuer; their answer appears against that item and moves it to “received”.
  • Generate an IC memo — a first draft (thesis, terms, financials, key risks, recommendation) built from the deal and your own findings, which you edit, finalise and export as a PDF.

For issuers — the Diligence & Readiness tabs

  • Set the expected-diligence list — the items investors should expect to review. It seeds every investor’s workspace, so they start from the right checklist. One click seeds it from a template matched to your instrument.
  • The Readiness tab scores your offering before it goes live: core terms, approved documents, the standard document set for your instrument, the expected-diligence list, a reachable data room and settlement.
  • See who is in diligence — each investing party’s stage, progress, risk flags and open requests — and answer their information requests from one inbox.

AI suggestions are a drafting aid, not advice or a recommendation. Investors are responsible for their own diligence and decisions.

7Offers & commitments

  • Make an offer on a deal with your amount, currency and terms (requires verification).
  • The issuer screens the offer and accepts it, which creates a binding commitment.
  • Commitments flow into your Portfolio, where capital calls and distributions are tracked.

8Settlement & payment

On a deal’s Settlement tab the issuer configures how investors pay:

  • Per-chain deposit addresses — a receiving address for each supported chain (Armature, Ethereum, Bitcoin, Arbitrum, Base, Polygon, BNB, Tron), each with a QR code and copy button.
  • Payment links — a members-only link that opens the deal’s settlement view for signed-in members.
  • Settlement instructions — a single sheet combining the crypto addresses with fiat bank-wire details and a payment reference, available on screen, to copy, to print, or as a branded PDF.

Deposit addresses are entered by the issuer. Always verify settlement details with the issuer through an independent channel before transferring funds — digital-asset transfers are irreversible.

9Portfolio & capital accounts

  • Track every commitment with paid-in, distributed, current NAV and unfunded figures.
  • See net MOIC and XIRR computed from your dated cashflows.
  • Capital calls due appear with a Pay action; distributions and valuations update your metrics.

10Mandates & matching

  • Set your mandate — sectors, geographies, instruments, currencies and ticket range.
  • Live deals are scored 0–100 against your mandate and surfaced under Matches.
  • When a matching deal goes live, it appears in your alerts.

11Documents & e-signature

  • Upload a document and request signatures from named recipients.
  • Each signature is a post-quantum ML-DSA-65 signature bound to the document’s SHA-256 hash — a tamper-evident e-signature.
  • Signing an NDA on a deal automatically unlocks the gated data room for that participant.

12Wallet & bank accounts

  • A multichain wallet supports the network’s chains and settlement currencies.
  • Link a bank account for fiat settlement; accounts are stored with the number masked.

13Founders Club

  • Founders Club is an invitation-only group granted by the administrator; members carry a ★ badge on their profile.
  • Members get a private referral link and can track who they’ve referred. Referrals are never promoted publicly.

14Your profile

  • Add an image, up to three links, your LinkedIn, address and organisation.
  • Set your membership category and see the deals you’ve entered.

15Administration

Administrators have a back-office with:

  • Overview dashboard, member and deal approvals, and member management (including the Founders Club toggle).
  • Internal CRM / leads, billing & invoices, the PQC audit log, and reports.

16Security & trust

  • Post-quantum identity. Every member has a KXCO ID derived from an ML-DSA-65 key; it is the only identifier shown across the network.
  • Audit trail. Every state change is signed by the platform key and recorded, so the record is tamper-evident.
  • KXCO’s role. KXCO provides the technology; it is not a party to any transaction, broker-dealer, adviser or fiduciary. Members are responsible for their own due diligence and decisions.
